1. Definitions

• "Service" refers to the financial advisory engagements offered by Bodhi Consult, as described on our website.
• "User" refers to any individual accessing the website or enquiring about our services.
• "Client" refers to a business or individual who has entered into an engagement agreement with us.
• "We / Us / Our" refers to Bodhi Consult, located at 88/4 Silom Road, Silom, Bang Rak, Bangkok 10500, Thailand.
• "Agreement" refers to the signed engagement letter governing a specific advisory engagement.

2. Acceptance of Terms

By accessing our website or submitting an enquiry, you confirm that you have read and accept these Terms & Conditions. Users must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing the website on behalf of a business, you confirm that you have authority to bind that business to these terms.

3. Services

Bodhi Consult provides financial advisory services to Thai SMEs and family businesses, including Financial Health Reviews, Financial Planning & Forecasting engagements, and Transaction Advisory Retainers. Service scope, deliverables, fees, and timelines for each engagement are agreed in writing in a signed engagement letter before work begins.

Our services are available to businesses based in Thailand. Enquiries from businesses based elsewhere in Thailand or internationally are welcome, though geographic suitability may be discussed during the initial conversation.

4. User Obligations

When using our website or engaging our services, you agree to:

• Provide accurate and complete information in enquiries and engagement materials.
• Use the website and any delivered materials for lawful purposes only.
• Not reproduce, distribute, or modify any materials delivered as part of an engagement without our agreement.
• Not attempt to access restricted areas of our systems or disrupt the operation of our website.

5. Intellectual Property

The content of our website — including text, design, structure, and other materials — is owned by Bodhi Consult and protected under applicable Thai intellectual property law. You may view and print content for personal, non-commercial use. Any other use requires our written agreement.

Financial models, memoranda, and other documents delivered as part of a client engagement are transferred to the client upon payment of the engagement fee. We retain the right to use anonymised methodologies and frameworks derived from our work in future engagements.

6. Payment Terms

All fees are denominated in Thai Baht (THB) and agreed in writing before engagement commencement. Payment schedules are set out in the engagement letter. Typical arrangements involve an initial payment upon engagement commencement, with the balance payable upon delivery of the final output.

We do not accept payment by credit card. Bank transfer is the standard payment method. Invoices are provided at the agreed milestones. Late payments may incur interest at a rate consistent with applicable Thai commercial law.

Refunds are not offered on completed work. If an engagement is terminated before completion, a fee proportionate to the work completed will be agreed in accordance with the engagement letter terms.

7. Confidentiality

All client financial materials and engagement content are treated as confidential. We sign non-disclosure agreements prior to reviewing any client materials. 8. Disclaimers

Our services provide financial analysis, observations, and planning support. They do not constitute legal, tax, or auditing services. Our work is not a substitute for the advice of qualified auditors, lawyers, or tax professionals, and should not be relied upon as such.

Financial models and projections produced in engagements reflect assumptions made at a point in time. Actual results may differ materially from projections. We make no representation that any particular financial outcome will be achieved as a result of our work.

Our website is provided on an "as is" basis. We do not represent that it will be available without interruption or error.

9. Limitation of Liability

To the extent permitted by Thai law, our total liability in connection with any engagement is limited to the fee paid for that engagement. We are not liable for indirect, consequential, or special damages arising from our work or from use of our website.

Nothing in these Terms limits liability for fraud, wilful misconduct, or liability that cannot be excluded under applicable Thai law.

10. Indemnification

You agree to indemnify and hold harmless Bodhi Consult and its practitioners from any claims, losses, or damages arising from your breach of these Terms or from your use of our services in a manner contrary to any applicable law.

11. Termination

Either party may terminate an engagement by giving written notice as specified in the engagement letter. In the event of termination, a fee for work completed to the date of termination will be agreed. We may terminate our engagement immediately if a client provides materially misleading information or breaches confidentiality obligations.

12. Governing Law and Dispute Resolution

These Terms and any engagement agreements are governed by the laws of the Kingdom of Thailand. Any disputes arising from our services will first be subject to good faith negotiation. If unresolved within 30 days, disputes will be referred to the courts of Bangkok, Thailand, which shall have exclusive jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. The current version will always be posted on this page with the "Last updated" date. Continued use of our website or services after an update constitutes acceptance of the revised terms.
